Terms and Conditions

These Terms and Conditions ("Terms") govern access to and use of LEGAL_ADDRESS= ("LEGAL_ADDRESS=", "Platform", "Service", "we", "us", or "our"), a pharmacy management and medicine information software platform operated by LEGAL_ADDRESS=, a company registered under the laws of the Federal Democratic Republic of Ethiopia.

By creating an account, accessing the Platform, starting a trial, purchasing a subscription, or otherwise using LEGAL_ADDRESS=, you agree to be bound by these Terms.

If you are using LEGAL_ADDRESS= on behalf of a pharmacy, company, hospital, organization, or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms. In that case, "you" includes both you and the entity you represent.

1. Description of the Service

LEGAL_ADDRESS= is a software platform designed to assist pharmacies with pharmacy operations, including, depending on the subscription plan:

  • medicine inventory management;
  • batch and expiry-date management;
  • FEFO-based stock management;
  • point-of-sale functionality;
  • sales and transaction management;
  • reporting and analytics;
  • staff and user management;
  • branch management;
  • notifications and alerts;
  • supplier management;
  • medicine information tools;
  • AI-assisted medicine information;
  • other features introduced by LEGAL_ADDRESS= from time to time.

Features available to you depend on your subscription plan.

LEGAL_ADDRESS= may modify, improve, add, remove, suspend, or discontinue features from time to time.

2. LEGAL_ADDRESS= Is Software, Not a Healthcare Provider

LEGAL_ADDRESS= is a software and information-support platform.

LEGAL_ADDRESS= does not:

  • diagnose patients;- prescribe medicines;
  • replace a pharmacist, physician, or other qualified healthcare professional;
  • establish a patient-specific treatment plan;
  • guarantee the suitability of a medicine for a particular patient;
  • replace professional clinical judgment;
  • guarantee that information provided by the Platform is complete, current, or appropriate for every situation.

You remain responsible for making professional decisions based on your training, applicable laws, professional standards, patient information, and appropriate clinical resources.

3. AI Pharmacist Assistant

LEGAL_ADDRESS= may provide an AI-powered medicine information assistant.

The AI Assistant is intended to help qualified pharmacy professionals locate and understand medicine information more efficiently.

AI-generated responses may contain:

  • errors;
  • omissions;
  • outdated information;
  • incomplete information;
  • incorrect interpretation;
  • information that does not apply to a particular patient or circumstance.

Accordingly, AI-generated information must be independently verified before being relied upon for patient care, dispensing, prescribing, treatment, or other clinical decisions.

The AI Assistant must not be used as the sole basis for:

  • determining a patient's diagnosis;
  • determining a patient's treatment;
  • determining an appropriate medicine dose for an individual patient;
  • determining whether a medicine is appropriate for a particular patient;
  • determining whether a medicine should be dispensed in a particular circumstance;
  • emergency medical decisions.

Where the Platform provides references or sources, those references are provided to assist verification and should be reviewed by the professional.

4. Professional Responsibility

If you are a pharmacist, pharmacy professional, pharmacy owner, manager, or other healthcare professional, you remain solely responsible for complying with:

  • applicable Ethiopian laws and regulations;
  • professional licensing requirements;
  • pharmacy standards;
  • medicine-dispensing requirements;
  • prescription requirements;
  • patient-safety requirements;
  • applicable record-keeping requirements;
  • applicable professional and ethical obligations. LEGAL_ADDRESS= does not assume responsibility for professional decisions made using the Platform.

5. Pharmacy Account

To use LEGAL_ADDRESS=, you may be required to create an account.

You agree to provide accurate and complete information and to keep that information updated.

You are responsible for:

  • maintaining the confidentiality of account credentials;
  • controlling access to your account;
  • maintaining appropriate user permissions;
  • ensuring that authorized staff use the Platform appropriately;
  • immediately notifying LEGAL_ADDRESS= of suspected unauthorized access.

You must not share account credentials in a manner that compromises account security.

6. Pharmacy Owner Responsibility

The pharmacy or organization that creates a LEGAL_ADDRESS= account is responsible for its users.

The account owner or administrator is responsible for:

  • inviting authorized staff;
  • assigning appropriate roles;
  • removing former employees;
  • protecting credentials;
  • reviewing staff permissions;
  • ensuring lawful use of the Platform;
  • ensuring that information entered into LEGAL_ADDRESS= is accurate.

LEGAL_ADDRESS= is not responsible for actions performed by authorized users of your account.

7. Customer Data

You retain ownership of the business information and other data that you submit to LEGAL_ADDRESS=, subject to the rights necessary for LEGAL_ADDRESS= to provide the Service.

Such information may include:

  • medicine records;
  • stock information;
  • batch information;
  • expiry information;
  • sales records;
  • supplier information;
  • employee information;
  • pharmacy information;
  • reports;
  • other business records entered into the Platform. You grant LEGAL_ADDRESS= the limited rights necessary to host, process, transmit, store, back up, and otherwise process such data solely for providing and improving the Service, complying with law, preventing abuse, maintaining security, and fulfilling our contractual obligations.

8. Patient and Health Information

LEGAL_ADDRESS= may be capable of being used in environments where sensitive information could be entered.

You must not enter unnecessary patient-identifying or sensitive health information into LEGAL_ADDRESS= unless the relevant feature specifically requires it and the processing is lawful.

Where you enter personal or health-related information into the Platform, you are responsible for ensuring that you have an appropriate legal basis and authorization to do so.

You must not use LEGAL_ADDRESS= to collect or process personal data unlawfully.

9. Data Protection

LEGAL_ADDRESS= processes personal data in accordance with applicable data-protection laws, including applicable requirements under Ethiopia's Personal Data Protection Proclamation No. 1321/2024.

Our Privacy Policy explains:

  • what information we collect;
  • why we collect it;
  • how we use it;
  • how we protect it;
  • when information may be shared;
  • data-subject rights;
  • retention practices;
  • how to contact us regarding privacy.

Where LEGAL_ADDRESS= processes personal data on behalf of a pharmacy or organization, the parties may enter into additional data-processing terms where required.

10. Security

We implement reasonable technical and organizational safeguards designed to protect information against unauthorized access, loss, misuse, alteration, or disclosure.

However, no electronic system, network, database, or Internet transmission can be guaranteed to be completely secure.

You acknowledge that you use the Platform at your own risk and that you are responsible for maintaining appropriate security practices within your organization.

11. Availability and Service Interruptions

We aim to maintain reliable availability of LEGAL_ADDRESS= but do not guarantee uninterrupted or error-free operation.

The Platform may become temporarily unavailable because of:

  • maintenance;
  • upgrades;
  • infrastructure failures;
  • Internet failures;
  • third-party service failures;
  • telecommunications failures;- power failures;
  • cybersecurity incidents;
  • force majeure events;
  • circumstances outside our reasonable control.

We may perform scheduled or emergency maintenance when necessary.

12. Data Accuracy

LEGAL_ADDRESS= may provide tools that calculate, summarize, classify, organize, or otherwise process information entered by users.

You are responsible for ensuring that information entered into the Platform is accurate.

LEGAL_ADDRESS= is not responsible for losses resulting from:

  • incorrect medicine information entered by users;
  • incorrect prices;
  • incorrect stock quantities;
  • incorrect batch information;
  • incorrect expiry dates;
  • incorrect supplier information;
  • incorrect transaction information;
  • user configuration errors;
  • misuse of the Platform.

13. Medicine Inventory and FEFO

LEGAL_ADDRESS= may provide FEFO functionality intended to assist pharmacies in managing medicine batches according to expiry dates.

FEFO functionality is a software mechanism and does not constitute a guarantee that the correct medicine batch will always be dispensed.

Pharmacy staff remain responsible for verifying the medicine, batch, expiry date, quantity, and other relevant information before dispensing or selling a medicine.

14. Subscriptions and Fees

LEGAL_ADDRESS= may provide free trials and paid subscription plans.

Subscription prices, features, limits, and billing periods are displayed at the time of purchase or within the Platform.

Unless otherwise stated:

  • subscriptions renew according to the selected billing period;
  • fees are payable according to the applicable billing terms;
  • taxes or government charges may apply;
  • subscription limits apply according to the selected plan.

We reserve the right to change subscription pricing for future billing periods by providing reasonable notice.

15. Free Trials

Where LEGAL_ADDRESS= offers a free trial:

  • the trial period begins when the account is activated;
  • trial features may be limited;
  • LEGAL_ADDRESS= may modify or discontinue trial programs;
  • one organization may not create multiple accounts to obtain repeated trial benefits.

At the end of the trial, the account may be restricted unless a paid subscription is selected.

16. Payments

Payments may be processed through third-party payment providers.

LEGAL_ADDRESS= does not necessarily store complete payment-card or payment-account credentials.

Payment providers may have their own terms and privacy policies.

You authorize applicable payment providers to process payments according to the selected subscription.

17. Refunds

Refund eligibility is determined according to the refund policy displayed when the subscription is purchased.

Unless required by applicable law, subscription fees already paid may be non-refundable after the applicable billing period begins.

Nothing in this section limits mandatory consumer rights under applicable law.

18. Acceptable Use

You must not use LEGAL_ADDRESS= to:

  • violate applicable law;
  • violate pharmacy or medicine regulations;
  • impersonate another person;
  • access another pharmacy's account;
  • attempt unauthorized access to the Platform;
  • interfere with Platform security;
  • upload malicious software;
  • reverse engineer the Platform except where legally permitted;
  • copy or reproduce LEGAL_ADDRESS='s software;
  • scrape the Platform;
  • circumvent subscription limits;
  • resell access without authorization;
  • abuse the AI Assistant;
  • use automated methods to overload the Platform;
  • use the Platform for unlawful activities.

19. Intellectual Property

The Platform and its underlying technology are owned by or licensed to LEGAL_ADDRESS=. This includes, where applicable:

  • software;
  • source code;
  • interface designs;
  • trademarks;
  • logos;
  • documentation;
  • algorithms;
  • AI systems;
  • databases and database structures;
  • proprietary workflows;
  • branding;
  • visual assets.

Except for the limited right to use LEGAL_ADDRESS= under these Terms, no intellectual-property rights are transferred to you.

20. Customer Feedback

If you provide suggestions, recommendations, feature requests, or other feedback regarding LEGAL_ADDRESS=, you grant us the right to use that feedback without compensation or attribution, provided that doing so does not disclose your confidential information.

21. Third-Party Services

LEGAL_ADDRESS= may integrate with or rely upon third-party services, including:

  • authentication providers;
  • payment providers;
  • cloud infrastructure providers;
  • messaging providers;
  • email providers;
  • AI services;
  • analytics providers;
  • other technology providers.

LEGAL_ADDRESS= is not responsible for failures caused exclusively by third-party services.

22. Suspension and Termination

We may suspend or terminate an account if:

  • you materially violate these Terms;
  • you fail to pay applicable fees;
  • your use creates a security risk;
  • your use violates applicable law;
  • your account is involved in fraudulent activity;
  • continued use could materially harm LEGAL_ADDRESS= or another user.

Where reasonably possible, we will provide notice and an opportunity to correct the violation.

23. Termination by Customer

You may terminate your subscription according to the cancellation mechanism provided within LEGAL_ADDRESS= or by contacting support.

Termination does not automatically eliminate amounts already due.

24. Effect of Termination

After termination:

  • access to the Platform may be disabled;
  • subscription services may stop;
  • applicable data-retention obligations may continue;
  • certain information may be retained where required by law, security requirements, dispute resolution, accounting, or legitimate business purposes.

Where applicable, customers may request export of their data before account termination.

25. Disclaimer of Warranties

To the maximum extent permitted by applicable law, LEGAL_ADDRESS= is provided on an "as available" and "as is" basis.

We do not warrant that:

  • the Platform will always be available;
  • the Platform will be error-free;
  • all information will always be accurate or complete;
  • AI-generated responses will always be correct;
  • the Platform will satisfy every pharmacy's requirements;
  • the Platform will prevent all inventory losses;
  • the Platform will prevent expired medicines or stockouts;
  • the Platform will detect every operational problem;
  • the Platform will be compatible with every device or system.

26. Limitation of Liability

To the maximum extent permitted by applicable law, LEGAL_ADDRESS=, its founders, directors, officers, employees, contractors, advisors, investors, shareholders, affiliates, licensors, and service providers shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to the use of LEGAL_ADDRESS=.

This includes, where legally permitted:

  • loss of profits;
  • loss of revenue;
  • loss of business;
  • loss of goodwill;
  • loss of anticipated savings;
  • loss of data;
  • business interruption;
  • loss resulting from professional decisions;
  • loss resulting from medicine dispensing decisions.

To the maximum extent permitted by law, our aggregate liability arising from your use of LEGAL_ADDRESS= shall not exceed the total subscription fees actually paid by the affected customer to LEGAL_ADDRESS= during the 12 months immediately preceding the event giving rise to the claim. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under applicable law.

27. Indemnification

To the maximum extent permitted by applicable law, you agree to defend, indemnify, and hold harmless LEGAL_ADDRESS=, its founders, directors, officers, employees, contractors, advisors, investors, shareholders, affiliates, and service providers from claims, damages, liabilities, costs, and expenses arising from:

  • your violation of these Terms;
  • unlawful use of the Platform;
  • misuse of the AI Assistant;
  • violation of another person's rights;
  • unauthorized processing of personal data;
  • information you submit to LEGAL_ADDRESS=;
  • professional or clinical decisions made by you;
  • your violation of pharmacy or medicine regulations.

28. Force Majeure

LEGAL_ADDRESS= shall not be responsible for failure or delay caused by events beyond reasonable control, including:

  • natural disasters;
  • war;
  • civil unrest;
  • government actions;
  • telecommunications failures;
  • Internet outages;
  • power failures;
  • epidemics;
  • cybersecurity incidents;
  • infrastructure failures;
  • labor disputes;
  • failures of third-party infrastructure.

29. Changes to These Terms

We may update these Terms from time to time.

Material changes will be communicated through the Platform, email, or another reasonable method.

Your continued use of LEGAL_ADDRESS= after the effective date of updated Terms constitutes acceptance of the updated Terms, to the extent permitted by law.

30. Governing Law

These Terms shall be governed by the laws of the Federal Democratic Republic of Ethiopia, unless applicable law requires otherwise.

Any dispute shall be subject to the jurisdiction of the competent courts of Ethiopia, unless the parties agree to another lawful dispute-resolution mechanism.

31. Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions shall continue in full force and effect to the extent permitted by law.

32. Entire Agreement

These Terms, together with the Privacy Policy and any applicable subscription or service agreements, constitute the agreement between you and LEGAL_ADDRESS= concerning use of the Platform.
